Terms & Conditions for Dental Practices Receiving Locum Dental Nurses

Introduction
ChairSide Assist Ltd (hereinafter referred to as “CSA Ltd”) provides qualified locum and temporary dental nurses to dental practices.

By engaging CSA Ltd to provide nursing staff, the practice (hereinafter referred to as “the Practice”) agrees to be bound by these Terms and Conditions.

These Terms and Conditions govern:

• The responsibilities and obligations of the Practice;

• Payment, invoicing, and cancellation policies;

• Health, safety, and compliance requirements;

• Confidentiality, data protection, and safeguarding;

• Liability, indemnity, and dispute resolution.

By accepting or requesting services from CSA Ltd, the Practice acknowledges that it has read, understood, and agrees to comply with all provisions herein.

1. Engagement of Nursing Staff

1.1 CSA Ltd will supply qualified locum dental nurses to the Practice on a temporary or shift basis.

1.2 Nurses supplied remain employees or contractors of CSA Ltd and are not employed by the Practice.

1.3 CSA Ltd retains the right to withdraw or replace a nurse if professional standards, compliance, or conduct issues arise.

2. Responsibilities of the Practice

2.1 The Practice must provide a safe working environment compliant with all health and safety laws and regulations.

2.2 The Practice must provide adequate supervision and instructions to the nurse.

2.3 The Practice must inform CSA Ltd of any risks, hazards, or special requirements before the nurse’s assignment.

2.4 The Practice is responsible for providing access to necessary equipment, PPE, and facilities for the nurse to carry out their duties safely.

2.5 The practice must show the Nurses  emergency procedures, and must show them where they keep the equipment and drugs, including fire exits, first aid arrangements, sharps disposal, and spill management.

3. Payment and Invoicing

3.1 The Practice agrees to pay CSA Ltd for all shifts provided at the agreed rates and hours. 

3.2 Invoices will be issued by CSA Ltd and are payable within the specified payment terms.

3.3 Late payment may result in interest charges and suspension of nurse allocation until payment is received.

3.4 CSA Ltd reserves the right to amend rates with prior notice.

4. Cancellation and Amendments

4.1 Cancellation of confirmed nurse shifts must be communicated in writing to CSA Ltd.

4.2 CSA Ltd reserves the right to charge fees for late cancellations or no-shows in accordance with the agreed schedule.

4.3 CSA Ltd may also reschedule or reallocate nurses due to unforeseen circumstances, such as illness or emergencies, with reasonable notice.

5. Health, Safety, and Compliance

5.1 The Practice must ensure compliance with all relevant health, safety, and infection control policies.

5.2 The Practice must provide a full induction to the nurse regarding workplace procedures, emergency exits, and infection control.

5.3 The Practice must report any accidents, injuries, or incidents involving nurses to CSA Ltd promptly. However, CSA Ltd accepts no responsibility for such incidents, as this is outlined in the nurses’ terms and conditions.

5.4 In the event of a medical emergency or serious incident involving a nurse, the Practice must contact the nurse’s next of kin immediately, inform CSA Ltd, and is solely responsible for managing and providing treatment for the situation in accordance with applicable health and safety regulations. CSA Ltd shall not be held liable for any incident, injury, or claim arising from such events, and the Practice shall indemnify CSA Ltd against any related claims, damages, or liabilities.

6. Confidentiality and Data Protection

6.1 The Practice must maintain the confidentiality of all personal data, patient information, and any details regarding CSA Ltd nurses.

6.2 All data must be handled in accordance with UK GDPR and relevant data protection laws.

6.3 Breaches of confidentiality may result in termination of engagement and legal action.

7. Insurance and Indemnity

7.1 The Practice must maintain appropriate insurance cover for premises, staff, and patient activities.

7.2 CSA Ltd maintains professional indemnity and liability insurance for the nurses it provides.

7.3 The Practice agrees to indemnify CSA Ltd against any claims, losses, or damages arising from the Practice’s negligence or failure to provide a safe working environment.

8. Liability

8.1 CSA Ltd acts solely as an intermediary supplying nurses and shall not be liable for:

• Patient outcomes;

• Nurse conduct while under the supervision of the Practice;

• Any indirect, incidental, or consequential losses.

8.2 The Practice acknowledges that CSA Ltd is not responsible for any claims resulting from the Practice’s operational procedures or acts of the nurse while on assignment.

9. Termination

9.1 CSA Ltd may terminate nurse provision immediately in cases of unsafe conditions, repeated non-payment, or breaches of these Terms.

9.2 The Practice may terminate nurse assignments by providing written notice in accordance with agreed notice periods.

10. Governing Law

10.1 These Terms and Conditions are governed by the laws of England and Wales.

10.2 Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Acceptance of Terms

By engaging CSA Ltd for locum or temporary dental nurses, the Practice confirms that it has read, understood, and agrees to be bound by these Terms and Conditions.
